You may be required to create an account with ICTI to participate in the Courses (a“ User Account”). When creating a User Account, you must provide accurate and complete information, and you agree to keep your User Account information up-to-date. You are solely responsible for maintaining the confidentiality of your User Account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your User Account.

5. Fees and Payment

You may be required to pay a fee to participate in the Courses (the “Course Fees”). The Course Fees, if any, will be specified on the ICTI.org website. You agree to pay the Course Fees in accordance with the payment terms specified on the ICTI.org website, and you authorize ICTI to charge your credit card or other payment method for the Course Fees. If you dispute any payment made through your User Account, you must notify ICTI in writing within 30 days of the date of the payment.

6. Intellectual Property

The Content and all intellectual property rights, including without limitation, patents, trademarks, trade secrets, copyrights, and other proprietary rights, in and to the Courses and the website, including without limitation all Course materials and any derivative works thereof, are owned by ICTI or its licensors. YOU AGREE THAT ICTI, ITSAFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOTBE LIABLE FOR ANY DAMAGES OF ANY KIND INCLUDING WITHOUT LIMITATIONDIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES,WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF YOUR USE OFICTI.ORG OR THE COURSES, OR YOUR INABILITY TO USE ICTI.ORG OR THE COURSES,OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF ICTI.ORG OR THECOURSES, INCLUDING WITHOUT LIMITATION ANY ERRORS OR OMISSIONS IN ANYCONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THEUSE OF ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADEAVAILABLE VIA ICTI.ORG OR THE COURSES, EVEN IF ADVISED OF THEIR POSSIBILITY.BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THELIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCHSTATES OR JURISDICTIONS, ICTI’S LIABILITY SHALL BE LIMITED TO THE MAXIMUMEXTENT PERMITTED BY LAW.

11. Termination of Use

ICTI, in its sole discretion, may terminate or suspend all or a portion of ICTI.org and the Courses, or your use thereof, at any time and without notice and with or without cause. Upon any such termination or suspension, your right to use ICTI .org and the Courses will immediately cease, and ICTI may, without liability to you, bar any further access to the Courses and the website.

12. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law. You agree to submit to the personal jurisdiction of a state court located in New Castle County, Delaware or the United States District Court for the District of Delaware.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms of Use or the use of ICTI.org and the Courses shall be resolved through binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in the State of Delaware. The award of the arbitrator shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14.Entire Agreement

These Terms of Use constitute the entire agreement between you and ICTI regarding the use of ICTI.org and the Courses, and supersedes all prior understandings and agreements, whether written or oral, relating to the same subject matter. If any provision of these Terms of Use is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall be enforced to the fullest extent possible.
